MarginEdge Instagram Giveaway Official Rules

ELIGIBILITY:

Open to legal residents of the fifty (50) United States and the District of Columbia, 13 or older. Void where prohibited. By participating, entrants agree to be bound by these official rules (“Official Rules”) and the decisions of Sponsor, which are binding and final on matters relating to the sweepstakes. The sweepstakes is subject to all applicable federal, state and local laws.

HOW TO PARTICIPATE:

The giveaway begins when the applicable MarginEdge official Instagram account posts the Mother's Day Giveaway announcement on 05/11/22 and ends 05/15/22. Entrants must follow the Sponsor’s Instagram page for a chance to win one of three gift baskets. Entrants must like our announcement post and direct message (DM) us with their nomination, including the nominee's email and/or physical address to enter. Nominees do not need to have an Instagram page to enter. Mechanical reproductions and entries via any other method will not be accepted. Limit one (1) entry per person. Multiple entries will be void. All entries become the property of Sponsor.

WINNER DETERMINATION:

Three (3) potential winners (“Winners”) will be selected on or about seven business days after the giveaway ends, at random, from all eligible entries received. The odds of winning a prize depend on the number of eligible entries received.

NOTIFICATION OF WINNER AND PRIZE CLAIM:

The potential winners will be contacted by Instagram direct message on or about seven business days after the giveaway ends at the Instagram account provided at the time of entry and be provided with instructions on how to claim the prize. Winners will need to provide a mailing address or email address to send the prize. Prizes will be sent via USPS mail to the address provided by Winners. Winners must confirm receipt of Prizes within seven (7) calendar days of receipt of the email or letter to complete the verification process.

If a potential winner is not in compliance with these Official Rules or a prize or prize notification is returned as undeliverable, the potential winner may be disqualified and forfeit the prize.

PRIZE:

Three (3) gift baskets: one (1) culinary themed, one (1) plant/gardening themed, and one (1) pet themed. Gift baskets may not be redeemed for cash or credit. Gift baskets are non-refundable and cannot be replaced if lost or stolen. 

Prize is awarded “as is” with no warranty or guarantee, either express or implied. Winner may not substitute, assign, or transfer prize or redeem prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value. Winner is responsible for all applicable federal, state and local taxes, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided. All prize details are at Sponsor’s sole discretion. Limit one (1) prize per person.

PUBLICITY GRANT:

Winner, by acceptance of prize, except where legally prohibited, grants permission for Sponsor and its designees to use their name, photograph, voice and/or other likeness and prize information, for advertising, trade, and promotional purposes, in any manner, in any and all media now known or hereafter discovered, worldwide in perpetuity, without further compensation or notification to, or permission from, winner.

GENERAL CONDITIONS:

Entrants release, discharge, and agree to indemnify and hold harmless Sponsor, Promotional Partners and all of their respective parents, affiliates, subsidiaries, related entities and advertising and promotion agencies and all of their respective directors, officers, partners, employees, shareholders, representatives and agents and all others associated with the development and execution of the giveaway (collectively, the “Released Parties”) from and against, any liability for any injuries, losses or damages of any kind, including death, to persons, or property of any kind resulting in whole or in part, directly or indirectly, from participation in this giveaway, including any travel or activity related thereto and/or or the acceptance or use of the prize awarded or compliance or non-compliance with these Official Rules. Released Parties are not responsible for errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the giveaway, including, without limitation, errors or difficulties which may occur in connection with the administration of the giveaway, the determination of winners, the announcement of the prize or in any giveaway-related materials. Persons who tamper with or abuse any aspect of the giveaway or who are in violation of these Official Rules or who act in an unsportsmanlike or disruptive manner, as solely determined by Sponsor, will be disqualified and all associated entries will be void. Should any portion of the giveaway be, in Sponsor’s sole opinion, compromised by non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play of this giveaway, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the giveaway and, if terminated, at its discretion, select the winners as deemed fair and appropriate by Sponsor. In no event will Sponsor be liable for awarding more prizes than set forth herein. Any attempt by a person to deliberately damage or undermine the legitimate operation of the giveaway may be in violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek remedies and damages (including attorney’s fees) from any such person to the fullest extent of the law, including criminal prosecution. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of these provisions.

DATA COLLECTION AND USE:

Any information collected in connection with a giveaway will be used in accordance with Sponsor’s privacy policy, available at https://www.marginedge.com/privacy-policy.

DISPUTES; VENUE; GOVERNING LAW:

By participating, entrants agree that (1) any and all disputes, claims and causes of action arising out of, or connected with, this giveaway or any prize awarded (if applicable) shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Virginia or the appropriate state court located in Arlington County, Virginia; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including, but not limited to, costs associated with entering this giveaway and in no event will entrant be permitted to obtain attorneys’ fees or other legal costs; and, (3) to the extent allowed by applicable law, under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental and/or consequential damages and/or any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of any participant or Sponsor in connection with the giveaway shall be governed by and construed in accordance with the internal laws of the Commonwealth of Virginia without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws.

The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any giveaway-related materials or notifications and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.
